Who they apply to
These terms apply to Kendu Intelligence services: the audit, the set-up of AI agents, their subscription, training and custom software. They are for businesses only. Your signed quote supplements them; if it says otherwise, your quote applies.
Orders
A service is ordered when you sign its quote. No work starts before that.
Prices
Our prices are shown excluding tax. VAT is added at the rate in force. For a business customer established in Belgium, Spain or Italy, VAT is generally payable by the customer itself (reverse charge); your quote says so. The prices that apply are those in your quote.
Subscriptions and AI model usage are not included in our prices. If we re-invoice them to you, it is at cost, with no margin, converted into euros at the exchange rate on the day of the provider's invoice, and subject to VAT.
Payment
Our invoices are payable within 30 days of their date, unless another period is stated in your quote. No discount is granted for early payment.
Late payment
In case of late payment, penalties are due from the day after the due date, without any reminder being needed. Their rate is the rate the European Central Bank applies to its most recent refinancing operation, plus 10 points.
Any late payment also incurs a fixed indemnity of €40 for recovery costs. If our recovery costs are higher, we may claim additional compensation, on supporting evidence.
The audit
If you sign the set-up quote within 30 days of receiving the audit report, the price of the audit is deducted from it. The deduction applies once, for the same scope as the audit.
Open training sessions
An open session takes place from 5 registrants. If there are fewer, we will notify you at the latest 7 days before the planned date. You then choose: a place on a later session, or a full refund within 30 days.
The language of these terms
These terms are written in French. If you are reading them in a translation, the French version prevails in case of discrepancy.
They are governed by French law. Their French version can be consulted at any time at kendu-intelligence.com/pages/cgv.html.
